This Agreement sets forth the legally binding terms and conditions for your use of the Site.
By accessing or using the Website in any manner, including, but not limited to, visiting or browsing the Website, initiating contact with us through the site or contributing content or other materials to the Website, you agree to be bound by these Terms of Service. These Terms of Service supplement CloudResearch’s Standard Terms and Conditions & Privacy Policy which are incorporated herein by reference.
These Terms of Service describes our policies and procedures on the collection, use and disclosure of Your information when You use the Service and tells You about Your privacy rights and how the law protects You.
We use Your Personal data to provide and improve the Service. By using the Service, You agree to the collection and use of information in accordance with this Privacy Policy.

Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Usage Data refers to data collected automatically, either generated by the use of the Service or from the Service infrastructure itself (for example, the duration of a page visit).

Payment Data

- Participant Disbursements.
- Selection of Disbursement Schedule. Participants are required to schedule a withdrawal to their linked Paypal account for the desired payout (with a minimum amount as specified).
- Disbursement Options. All disbursement is done via Paypal.
- Taxes. You agree that it is your responsibility to determine any and all taxes and duties, including without limitation, sales, use, transfer, value added, and other taxes or duties assessed, incurred or required to be collected, or paid for any reason in connection with any request for, or performance of Projects, or your use of the Site, or otherwise in connection with any action, inaction or omission of you or any affiliate of yours, or any of your or their respective employees, agents, contractors or representatives (“Taxes“) and to collect, withhold, report, and remit correct Taxes to the appropriate tax authority, and to otherwise be responsible for the collection and payment of any and all Taxes. WE MAY WITHHOLD AND REPORT ON PAYMENTS TO PARTICIPANTS TO TAXING AUTHORITIES. YOU AGREE THAT WE ARE NOT OBLIGATED TO DETERMINE WHETHER TAXES APPLY AND WE ARE NOT RESPONSIBLE TO COLLECT OR REMIT ANY TAXES ARISING FROM ANY TRANSACTION.
Information from Third-Party Social Media Services
The Company allows You to create an account and log in to use the Service through the following Third-party Social Media Services:

If You decide to register through or otherwise grant us access to a Third-Party Social Media Service, We may collect Personal data that is already associated with Your Third-Party Social Media Service’s account, such as Your name, Your email address, Your activities or Your contact list associated with that account.
You may also have the option of sharing additional information with the Company through Your Third-Party Social Media Service’s account. To manage Your requests: To attend and manage Your requests to Us.
For business transfers: We may use Your information to evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by Us about our Service users is among the assets transferred.
For other purposes: We may use Your information for other purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns and to evaluate and improve our Service, products, services, marketing and your experience.

- With Service Providers: We may share Your personal information with Service Providers to monitor and analyze the use of our Service, to contact You.
- With Affiliates: We may share Your information with Our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include Our parent company and any other subsidiaries, joint venture partners or other companies that We control or that are under common control with Us.
- With Your consent: We may disclose Your personal information for any other purpose with Your consent. This may include sharing your information with researchers looking for survey participants.
Retention of Your Personal Data
The Company will retain Your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use Your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.
The Company will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of Our Service, or We are legally obligated to retain this data for longer time periods.
Removal of Your Personal Data
Users can request the deletion of their data by contacting our support team at connect-support@cloudresearch.com or by accessing the data deletion function in the account settings.
Transfer of Your Personal Data
Your information, including Personal Data, is processed at the Company’s operating offices and in any other places where the parties involved in the processing are located. It means that this information may be transferred to — and maintained on — computers located outside of Your state, province, country or other governmental jurisdiction where the data protection laws may differ than those from Your jurisdiction.
Your consent to this Privacy Policy followed by Your submission of such information represents Your agreement to that transfer.
The Company will take all steps reasonably necessary to ensure that Your data is treated securely and in accordance with this Privacy Policy and no transfer of Your Personal Data will take place to an organization or a country unless there are adequate controls in place including the security of Your data and other personal information. However, You acknowledge and agree that Company has no control over how a third party may use and/or disclose your Personal Data.
Disclosure of Your Personal Data
Business Transactions
If the Company is involved in a merger, acquisition or asset sale, Your Personal Data may be transferred. We will provide notice before Your Personal Data is transferred and becomes subject to a different Privacy Policy.
Law enforcement
Under certain circumstances, the Company may be required to disclose Your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

The security of Your Personal Data is important to Us, but remember that no method of transmission over the Internet, or method of electronic storage is 100% secure. While We strive to use commercially acceptable means to protect Your Personal Data, We cannot guarantee its absolute security.
Participant Specific Agreement
By accessing (including by automated means) or registering for the Site, you accept this Agreement and represent that you are at least 18 years old and have authority to bind yourself or the company you represent to this Agreement.
- Registration.
- Registration. When you register for the Site, you must provide complete and accurate information and ensure that such information (as well as any additional information we may require to, among other things, verify your identity) is complete, accurate, and up-to-date at all times.
- Passwords and Account Use. You are solely responsible for maintaining the secrecy and security of your password, and any use or action taken under your account. If your password is compromised, you must change your password. You may not permit any other person or entity to request or perform Projects using your account. If you believe there is an error or unauthorized transaction or activity associated with your account, contact us immediately.
- CloudResearch Connect’s Role. The Site is a venue for Researchers to recruit participants and for Participants to complete various research survey (each a “Project” and collectively the “Projects”).
- Unless we are participating on the Site as a Researcher, we are not involved in the recruitment or the completion of Projects, and have no control over the quality, safety, or legality of Projects or consideration for Projects, your selection for any Project, the ability of Participants to complete Projects to Researchers’ satisfaction, the ability of Researchers to pay for Projects or how a Researcher may use your Personal Data.
- We are not responsible for the actions of any Researcher or Participant or performing any screening of Researcher or Participant.
- Because we are not a party to the transactions between Participant and Researcher, we are not responsible for resolving any disputes between Participant and Researcher related to any Projects or any transaction, including:
- Rejections Researchers have applied to the Participant taking part in their Projects
- Bonus payments transacted between the Researcher and Participants
- Projects that were returned in error by Participants
- Submissions that were submitted after the maximum allotted time specified by the Researcher for their Projects
- You acknowledge and agree to hold us harmless from any of the foregoing to the maximum extent permitted by law.
- Your Use of the Website.
- As a Participant, you agree that: (i) you will interact with Researchers in a professional and courteous manner, and provide reasonably requested information in connection with your performance of Projects; (ii) you will use your personal judgment to perform Projects in a competent and responsible manner; (iii) you will not use robots, scripts, or other automated methods in place of your personal judgment to perform Projects; (iv) you will supply complete and accurate information for all Projects you perform; (v) the Projects you perform may be rejected for good cause and any payment obligations owing to you will be cancelled if rejected.
- Work for Hire. Any work product from Projects you perform as a Participant is a “work made for hire” for the benefit of the Researcher, and you (i) agree that all ownership rights, including all intellectual property rights, will vest with that Researcher immediately upon your performance of those Projects, and (ii) waive all proprietary rights that you may have in that work product. To the extent any ownership rights do not vest in the Researcher under applicable law, you hereby assign or exclusively grant (without the right to any compensation) all right, title, and interest, including all intellectual property rights, in that work product to that Researcher.
- Independent Contractor. Participants perform Projects for Researchers in their personal capacity as an independent contractor and not as an employee of a Researcher or CloudResearch. As a Participant, you agree that: (i) you are responsible for and will comply with all applicable laws and registration requirements, including those applicable to independent contractors and maximum working hours regulations; (ii) this Agreement does not create an association, joint venture, partnership, franchise, or employer/employee relationship between you and Researchers, or you and CloudResearch or our affiliates; (iii) you will not represent yourself as an employee or agent of a Researcher or CloudResearch or our affiliates; (iv) you will not be entitled to any of the benefits that a Researcher or CloudResearch or affiliates may make available to its employees, such as vacation pay, sick leave, and insurance programs, including group health insurance or retirement benefits; and (v) you are not eligible to recover Participant’s compensation benefits in the event of injury. As a Researcher, you will not engage a Participant in any way that may jeopardize that Participant’s status as an independent contractor performing Projects for you. Neither CloudResearch nor its affiliates has any duty or obligation in respect of Projects other than those expressly set forth in this Agreement.
- Feedback; Materials You Post or Provide. We may implement mechanisms allowing us and others to track your requests for, or your performance of, Projects and rate your performance as a Researcher or Participant, and we reserve the right to collect that feedback related to you and to post that feedback on the Site. The Project content that you upload and work product that you receive via the Site may be retained and used to improve the Site and other machine learning related products and services offered by us or our affiliates. For any other information and materials you post or otherwise provide to us related to the Site, including scripts, browser plug-ins and extensions, or other programs for use on the Site (each, a “Submission“), you grant us a non-exclusive, royalty-free, perpetual, worldwide, irrevocable license to (i) use, copy, distribute, transmit, make available, publicly display, publicly perform, reproduce, edit, adapt, modify, translate, reformat, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, your Submission in connection with operating and improving the Site, and (ii) sublicense these rights. We will not pay you for your Submission, and may remove your Submission at any time. For each Submission you provide, you represent that you have all rights necessary for you to grant us the rights provided in this section.
- Refunds. Refunds may be requested within 18 months. If you request a refund of a credit card payment of over $1000, we reserve the right to charge back credit card processing fees. There are no refunds for discounts and promotional credits.
- Fraudulent Transactions. Fraudulent transactions may result in loss of your credits, account balance, and/or money paid to CloudResearch for Invoiced Projects with no recourse. You should contact us immediately if you believe an unauthorized transaction or activity associated with your account has occurred.
- Tax Information for US Residents. We use payment processors like PayPal, Stripe and possibly others who require valid taxpayer identification information to comply with IRS reporting regulations. These payment processors will issue a 1099-K, as necessary. CloudResearch, as required by law, may also issue tax documents to you and the IRS.
- Do I have to pay taxes on earnings from Connect? Please contact your accountant or tax preparer for questions about taxes or your tax obligations.
- No Warranties. THE WEBSITE, THE DEVELOPER MATERIALS , THE PAYMENT PROCESSING SERVICE, THE SERVICES, AND THE PERFORMANCE AND RESULTS OF THE SERVICES ARE PROVIDED ON AN “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS. YOU EXPRESSLY AGREE THAT USE OF THE WEBSITE, THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE, THE SERVICES, AND THE PERFORMANCE AND RESULTS OF THE SERVICES ARE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WEBSITE, THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE, THE SERVICES, OR THE PERFORMANCE AND RESULTS OF THE SERVICES. AND DISCLAIM ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE WEBSITE, THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE, THE SERVICES, OR THE PERFORMANCE AND RESULTS OF THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OPERATE WITHOUT ERROR, OR WILL CONTAIN ANY PARTICULAR FEATURES OR FUNCTIONALITY; (C) ANY WARRANTY THAT THE INFORMATION, CONTENT, MATERIALS, OR SUBMISSIONS INCLUDED ON THE WEBSITE WILL BE AS REPRESENTED BY RESEARCHERS OR PARTICIPANTS, THAT THE SERVICES AND THE PERFORMANCE AND RESULTS OF THE SERVICES ARE LAWFUL, OR THAT RESEARCHERS OR PARTICIPANTS WILL PERFORM AS PROMISED OR TO YOUR SATISFACTION; OR (D) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
- Indemnification. You will indemnify, defend and hold harmless CloudResearch and its affiliates (and their respective officers, directors, employees, directors, agents and representatives) from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest and expenses (including reasonable attorneys’ fees) arising out of any claim, action, audit, investigation, inquiry or other proceeding instituted by a person or entity that arises out of or relates to: (i) any actual or alleged breach of your representations, warranties, or obligations set forth in this Agreement; (ii) any Submissions, including any actual or alleged infringement or misappropriation of third-party rights by any of those Submissions; (iii) your wrongful or improper use of the Website; or (iv) a dispute between you and any other Site participant.
- Hateful Conduct. You may not directly attack other people on the basis of race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease. Such behavior exhibited in any messaging to Participants, Researchers, and CloudResearch alike will result in immediate account termination, forfeiting any accrued earnings.
Children’s Privacy
Our Service does not address anyone under the age of 18. We do not knowingly collect personally identifiable information from anyone under the age of 18. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us. If We become aware that We have collected Personal Data from anyone under the age of 18 without verification of parental consent, We take steps to remove that information from Our servers.
If We need to rely on consent as a legal basis for processing Your information and Your country requires consent from a parent, We may require Your parent’s consent before We collect and use that information.
Links to Other Websites
Our Service may contain links to other websites that are not operated by Us. If You click on a third party link, You will be directed to that third party’s site. We strongly advise You to review the Privacy Policy of every site You visit.
We have no control over and assume no responsibility for the content, privacy policies or practices of any third party sites or services.

We may update these Terms of Service (including the Cloud Research Terms of Service and Privacy Policy from time to time. We will notify You of any changes by posting the new Privacy Policy on this page.
